1. Acceptance of Terms

By creating an account, browsing products, or placing an order on Rubies Food ("Platform"), you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you are using the platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.

2. About the Platform

Rubies Food is a digital marketplace that connects Nigerian food growers, wholesale distributors, and retail buyers. We provide the technology infrastructure that enables sellers to list food products and buyers to discover and purchase them.

Rubies Food is not a party to the transaction between buyers and sellers. We do not own, store, or distribute any food products. All products are listed by independent sellers and Rubies Food acts solely as an intermediary platform.

3. User Accounts

To access most features of Rubies Food, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Keep your login credentials confidential and not share your password with anyone.
• Notify us immediately if you suspect any unauthorised access to your account.
• Be responsible for all activities that occur under your account.
• Be at least 18 years of age, or the age of legal majority in your jurisdiction.

Rubies Food reserves the right to suspend or terminate accounts that violate these terms, provide false information, or engage in fraudulent behaviour.

4. Seller Obligations

Sellers on Rubies Food agree to:

• Only list food products that are safe for consumption and comply with Nigerian food safety standards (NAFDAC regulations).
• Accurately describe all products including weight, quantity, expiry date, and storage requirements.
• Fulfil all confirmed orders within the agreed timeframe.
• Maintain sufficient stock to cover all active listings.
• Respond to buyer enquiries and disputes within 48 hours.
• Set wholesale minimum quantities that are commercially reasonable.

Sellers are solely responsible for the quality and safety of their products. Any misrepresentation may result in immediate account suspension.

5. Buyer Obligations

Buyers on Rubies Food agree to:

• Purchase products for lawful purposes only.
• Complete payment promptly upon placing an order.
• Provide accurate delivery address and contact information.
• Inspect goods upon delivery and raise any disputes within 24 hours.
• Not engage in fraudulent chargebacks or payment disputes without genuine cause.

6. Payments & Pricing

All prices on Rubies Food are quoted in Nigerian Naira (₦). Two pricing tiers are available: retail price per unit and a discounted wholesale price for orders meeting the minimum wholesale quantity threshold set by each seller.

Payments are processed via bank transfer (with admin approval) or our integrated payment gateway. Orders are confirmed only after payment is verified. Rubies Food may charge a platform service fee on transactions, which will be clearly disclosed at checkout.

Refund eligibility is determined on a case-by-case basis in coordination with the seller. Rubies Food does not guarantee refunds for change-of-mind purchases.

7. Prohibited Activities

The following are strictly prohibited on our platform:

• Listing counterfeit, expired, or unsafe food products.
• Engaging in price manipulation or false advertising.
• Attempting to circumvent our payment system or contact buyers/sellers off-platform to avoid fees.
• Posting defamatory, discriminatory, or offensive content.
• Using automated bots or scraping tools to access our platform.
• Attempting to compromise the security or integrity of our systems.
• Creating multiple accounts to circumvent bans or restrictions.

8. Limitation of Liability

Rubies Food provides the platform "as is" without warranties of any kind. To the maximum extent permitted by law, Rubies Food shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform.

Our total aggregate liability to any user shall not exceed the total fees paid by that user to Rubies Food in the three (3) months preceding the claim.

9. Termination

Either party may terminate the relationship at any time. You may close your account through your account settings. Rubies Food may suspend or terminate your access immediately if you violate these terms, without prior notice.

Upon termination, your right to use the platform ceases immediately. Provisions that by their nature should survive termination will remain in effect.

10. Changes to Terms

We reserve the right to modify these terms at any time. When we make material changes, we will notify you by email or a prominent notice on the platform. Continued use of the platform after changes take effect constitutes your acceptance of the revised terms.
